Executive changes signal operational focus

Dallas, TX - August 13, 2002

The viaLink Company (OTCBB: VLNK), the leading provider of synchronization and scan based trading services to the consumer packaged goods, retail and foodservice industries, today announced that Bob Noe has been named president of the company.

Concurrent with Noe`s promotion, Warren D. Jones, chief executive officer, and Bob Baker, president, announced their resignations from the company. Both will continue to serve on the company`s Board of Directors. Jones had served as interim CEO since September 2001, and has been a member of the viaLink Board of Directors since 1999. Baker is a co-founder of viaLink and has served as an officer and director since the formation of a predecessor company in 1985.

Noe, 50, will assume the duties of Jones and Baker in his new role.

"Bob`s success in creating an evolutionary suite of commerce-enabling supply chain services is reflected in viaLink`s growth over the past two years," said Lewis B. "Bucky" Kilbourne, viaLink`s chairman. "His extensive experience, coupled with his vision, leadership skills and industry knowledge, make Bob the ideal person to lead viaLink in our transition from a start-up company to one firmly focused on profitability."

The company also announced the resignations of Mark Bromberg and David Lloyd, who formerly served as president of Foodservice and Hospitality and senior vice president of operations, respectively. Both will leave the company to pursue other business opportunities, but will be available to serve on a consulting basis over the next year. Transition of their former responsibilities to experienced managers and professionals at viaLink is already underway.

Noe joined viaLink in April 1999 from EDS, where he served as the vice president of Industry Solutions and in other management positions. Prior to that he was with General Motors, where he held various marketing, strategy and business development roles. Mr. Noe received his B.S. and M.A. degrees from Central Michigan University.
