Commerce Planet Inc., a provider of e-commerce and online marketing products and services, has named former Utix Group Inc. top executive Anthony Roth as president and CEO and promoted corporate controller Jaime Rovelo to chief financial officer, the Goleta, CA-based company reports in a filing with the Securities and Exchange Commission.
Roth, whose new position pays $350,000 and offers him the opportunity to earn a bonus equal to 2.5% of net profits, replaces Michael Hill as CEO and Charlie Gugliuzza as president, the company says. While CEO of Utix, Roth developed and patented an online payment platform for marketing incentives, gifts, rewards, promotional card products and loyalty programs.
Hill resigned his CEO position at Commerce Planet earlier this month and will continue as chairman of the board while serving in a new position as chief strategic officer. Hill will continue to receive his annual salary of $350,000, the company says.
Gugliuzza left the president’s position earlier this month to assume a consulting role at the same salary, which Commerce Planet did not reveal, for the remainder of this year, the company says. Beginning Jan. 1, he will earn a rate of $350 per hour with a minimum of $20,000 per month. Gugliuzza will continue to serve on the company’s board of directors.
Rovelo replaces as CFO David Foucar, who resigned last month. Rovelo joined Commerce Planet in May as corporate controller after working for the company as an accounting consultant. As CFO, he will earn an annual salary of $130,000 and a discretionary bonus of up to 25% of his salary.
Prior to his work at Commerce Planet, Rovelo served as corporate controller for North America for World Minerals, a publicly traded French company, corporate controller of Reiter Affilliated Companies and chief financial officer of Desert Glory Ltd. He is also a certified public accountant and a former consultant at PricewaterhouseCoopers.
