Former EVP and GM at Computer Associates brings unparalleled leadership and growth experience to Xchange; Andy Frawley retains operational role as Chairman

Boston, Mass. – Jul 26, 2001 – Exchange Applications, Inc., now doing business as XchangeTM, Inc. (Nasdaq:EXAP), today announced the appointment of Chris Wagner as President and Chief Executive Officer of the Company. Mr. Wagner will also serve on the Board of Directors of the Company. Andrew Frawley will continue to support the company by providing strategic direction and leadership as founder and Chairman of the Board.

Mr. Wagner, a 20-year software veteran, most recently served as President and CEO of Metiom, Inc., a portfolio company of Forstmann Little & Company and leading e-commerce infrastructure provider. Prior to his role at Metiom, Mr. Wagner served as Executive Vice President and General Manager of CA Services, a division of Computer Associates International, Inc. At Computer Associates (CA), Mr. Wagner was responsible for the worldwide sales and implementation of CA’s professional services activities. He was instrumental in transforming CA into a leading solutions provider that generated more than $1 billion in professional services revenue. Prior to serving as EVP and GM of CA Services, he served as Senior Vice President of CA’s channel and direct product sales business supporting customers on a world-wide basis.

“Chris Wagner is a marquee player in the world of software,” said Andrew Frawley. “He meets our highest hopes for every quality we desired in a candidate; a class ‘A’ network, a track record of unparalleled growth, multi-national direct and indirect distribution expertise and success, and proven management of operations at one of the world’s largest software and services vendors. I believe Chris’s decision to join Xchange speaks volumes about the inherent value of the Company’s intellectual capital and the potential of its solutions, and I am thrilled that he is coming on board. I anticipate that his skills will have an immediate impact on our business execution,” he stated.

“In my 20 plus years in software, I’ve learned a lot about what makes some companies good and others great,” said Wagner. “I’m joining Xchange because I believe the company has the ingredients it needs to dominate the analytical CRM market; a space with one of the brightest futures in software. Andy is an industry thought leader, and I see a blue-chip client base of nearly 300 companies, the best solutions available, a high caliber executive team, and an employee base of exceptional talent,” he said. “I look forward to building on its foundation and leading Xchange to clear market leadership, he added.

As President and CEO Mr. Wagner will lead the day to day business of the Company. He will play a key role in the Company’s overall business strategy, focusing on client wins, partner acquisition, operations and overall growth, and has considerable professional experience in each of these disciplines.

“We have been interested in attracting Chris to one of our portfolio companies for a long time,” said Deven Perekh, Managing Director of Insight Capital Partners. “He brings Xchange a rare quality of leadership in every aspect of the software business; sales, partners, products and management of people.
