DOUBLECLICK INC. ANNOUNCES AGREEMENT TO ACQUIRE FALK ESOLUTIONS AG

Acquisition will provide significant expansion of European service delivery; Customers will benefit from expanded global presence and localization capabilities

NEW YORK, NY, March 20, 2006 – DoubleClick Inc., a leading global provider of digital advertising technology and services for marketers, ad agencies and web publishers, today announced that it has agreed to acquire Falk eSolutions AG, a global provider of online advertising delivery and marketing management solutions, based in Germany. Clients of DoubleClick and Falk eSolutions will benefit from the combined management experience of both companies, the widespread local market presence in Europe, and DoubleClick’s commitment to innovation in rich media, search and optimization – the new drivers of digital advertising. The transaction is expected to close prior to March 31, 2006.

“Falk is a natural fit with DoubleClick because of its commitment to product innovation, reliability and local customer service. Combined with DoubleClick’s seasoned industry experience, scalability, and global presence, together we will be able to offer clients a feature-rich solution which can enable them to increase ROI on their digital advertising investments,” said David Rosenblatt, CEO of DoubleClick. “The acquisition will complement DoubleClick’s strong focus in digital advertising, our innovative research and development, and our ongoing investment in search, optimization and rich media.”

By acquiring Falk, DoubleClick will add to its global presence and localization capabilities, and will almost double its European headcount with a global development team in St. Petersburg, Russia and additional offices in Düsseldorf and Amsterdam. DoubleClick will then have sizeable engineering hubs in North America, Europe and Asia dedicated to developing innovative products and services for local markets. The combined company will also have broad agency and publisher coverage in key global markets.

“I am very excited that together we will be able to offer a powerful, feature-rich solution with strong local customer service. The acquisition will have a positive impact in Europe, where Falk’s strength in Germany and the Benelux markets complements DoubleClick’s strength in the United Kingdom and France,” said Thomas Falk, CEO of Falk. “The established geographic footprint of DoubleClick’s operations will give Falk an immediate scale it would otherwise take significant time to build.”

Falk’s corporate brand and AdSolution ad management platform is planned to be migrated over time, with DoubleClick’s DART solution remaining the ad management platform of choice for the combined company. Falk clients who transition over to DoubleClick will benefit from DoubleClick’s industry leading DART platform and search, optimization and rich media capabilities. AdPepper, one of the largest Falk customers, is among the first to commit to migration following the closing.

Upon closing of the acquisition, Thomas Falk, CEO of Falk, will assume the role of President of DoubleClick EMEA and will report to the President of DoubleClick International, Ben Regensburger. Joe Apprendi, CEO of Falk North America, will stay on to help Falk customers transition smoothly over to DoubleClick.
