Sales Online Direct to become distributor of ebEngage™ Internet broadcast production tool suite

WORCESTER, MA and ATLANTA, GA - March 21, 2002 – Sales Online Direct (OTCBB: PAID) and ebroadcasters™ announce completion of a letter of intent for a multi-faceted partnership.

Highlights of the agreement include:
· ebroadcasters will re-establish approximately 100,000 minutes of Sales OnLine Direct’s broadcast assets and produce new programming for the Company’s CollectingChannel.com subsidiary.
· ebroadcasters will provide development and sales support for Sales Online Direct’s AI Commerce™ software suite as well as training aids via ebEngage Suite™.
· Sales Online Direct will license ebroadcasters’ ebEngage suite of tools for its own use and become a distributor of the product.
· ebroadcasters will produce live Webcast events for Sales Online Direct in the coming months. This will include Sales OnLine Direct’s new “Live Autograph Signing” events division.
· ebroadcasters will enhance Sales Online Direct’s PAID.com web site and produce a series of video-based sales and marketing materials, as well as integrate rich media content and communication tools into the site.
· ebroadcasters and Sales OnLine Direct are jointly co-developing derivative software products from Sales OnLine Direct’s acquisition of approximately $3 million in proprietary software.

These efforts will make Sales Online Direct more efficient, resulting in enhanced communication and substantially lower operating costs.”

“Our partnership with ebroadcasters will help Sales Online Direct produce state-of-the-art communications forums, programming and interactive web site content to showcase our products to the broadest possible audience,” said Greg Rotman, Sales Online Direct CEO. “Ebroadcasters’ expertise and their innovative ebEngage suite will enable us to enhance our service to customers and investors and bring products to market faster. We’re also thrilled with the revenue opportunities possible from our joint development efforts as well as distributing the ebEngage suite of products.”

As part of the partnership agreement, ebroadcasters will rebuild all of the broadcast assets for CollectingChannel.com and create a new infrastructure to offer 24X7 broadcast programming on the CollectingChannel.com site. This will include 100 hour-long episodes of the acclaimed, “Treasures in Your Home” TV show that attracted more than a million viewers a week. In addition Sales OnLine Direct owns approximately 30,000, 5-minute video collecting segments that will be placed throughout its various web site properties. This content will be made available for licensing to other portals. The content will be completely integrated with ebroadcasters’ ebEngage interactive tools to provide visitors with rich content such as slides, animations, Flash-based advertising, e-commerce, chats, Q&A sessions and interactive polling.

As Sales Online Direct develops additional CollectingChannel.com programming and conducts an extensive series of live Webcasts in the coming months, ebroadcasters will be the producers of the events and employ its ebMedia Manager System to create an incredible interactive viewer experience. This will include Rotman Auction’s new “Live Autograph Signing” events division, a subsidiary of Sales OnLine Direct.

Sales Online Direct will license ebroadcasters’ ebEngage suite of tools for its own use to enable Sales Online to begin producing Webinars, enhanced streaming media-based sales and marketing events, Web-based training for its AI Commerce software, investor relations meetings, sales and marketing materials and a number of enhanced video support materials. Utilizing the ebEngage tools, ebroadcasters will renovate Sales Online Direct’s web site to incorporate new investor relation’s tools and fully integrated corporate communication tools.

Sales Online will become a distributor of the ebEngage suite of tools and begin the marketing of those tools to major corporations. Additionally, ebroadcasters will provide development support to Sales Online Direct for ongoing upgrades and expansion of Sales Online’s AI Commerce suite. The additional support will shorten the time to market for new offerings and help Sales Online reduce overhead.

The ebEngage suite is a web-based, state-of-the-art set of Internet broadcast production and interactive viewer tools positioned to meet the growing need for “live and on-demand” corporate events and communications. Some of the key features include: custom player interface design, real-time slide show interface, digital video switcher, moderated chat with multiple subject matter experts, multi language support and integrated conference calling.
