Digital River Signs Circuit City Stores as an Online Retailer for its Downloadable Software Catalog

MINNEAPOLIS, October 4, 2004 -- Digital River, Inc. (NASDAQ: DRIV), a global leader in e-commerce outsourcing, today announced that it signed an online retail agreement with Circuit City Stores, Inc., a leading specialty retailer of consumer electronics.

Based on the agreement, Circuit City will market and re-sell leading brand name titles from Digital River`s extensive downloadable software catalog via its Web site, www.circuitcity.com . In addition to building and hosting the download site, Digital River is also handling payment processing, fraud prevention, e-marketing, reporting, customer service and digital fulfillment for software download purchases.

The downloadable store at www.circuitcity.com features brand name virus protection, Internet security and digital imaging software as well as DVD/CD authoring tools, games and utilities and operating systems. The site offers single user licenses and links to volume licensing programs. Site visitors will find promotions, rebates and discounts on select titles.
