Digital River and SPS Commerce Announce Alliance to Expand E-Commerce Products and Services to SPS Clients

Offers small to mid-sized enterprises their own e-commerce sites developed to increase efficiencies and revenues

MINNEAPOLIS, MN, February 19, 2002 - Digital River, Inc. (NASDAQ: DRIV), a leading global e-commerce outsource provider, and SPS Commerce Inc., the leading Supply Chain Integration Service provider, today announced an alliance. By leveraging Digital River`s outsourced e-commerce system, the companies are offering an expanded suite of e-commerce products and services to the thousands of small to mid-sized enterprises (SME) that SPS serves. The integrated service offering will meet the quick time-to-market and cost requirements of the SME market and allow SPS clients to have their own, affordable e-commerce sites, designed, hosted, and operated by Digital River. The alliance will open new e-commerce channels for SPS clients while broadening market opportunities for both Digital River and SPS.

SPS clients using Digital River`s outsourced e-commerce system will be able to streamline the purchasing, fulfillment and delivery of products to their consumers. SPS clients will also be able to broaden their access to retailers selling through online direct-to-consumer channels.
